1. Acceptance of These Terms
1.1. These Terms and Conditions ("Terms") form a legally binding agreement between you ("you", "User") and Revelium Studios FZCO, a free zone company incorporated in the Dubai Silicon Oasis free zone, Dubai, United Arab Emirates, with registered address at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates, Tax Registration Number (TRN) 104978059400001 ("Revelium", "we", "us"), governing your access to and use of the Neue Academy web application, website, content, and related services (collectively, the "Service").
1.2. By creating an account, clicking "I agree" (or similar), purchasing access, or using the Service, you accept these Terms. If you do not agree, you must not use the Service.
1.3. These Terms incorporate by reference our Payment Terms and Privacy Policy, together with any beta or founding-member program terms presented at sign-up. In the event of conflict, the document specific to the subject matter prevails.
1.4. We may amend these Terms as described in Section 17.
2. Description of the Service; Beta and Founding-Member Status
2.1. Neue Academy is a subscription-based educational technology platform providing online lessons, courses, and related learning materials and features.
2.2. Beta status. The Service is currently offered as a beta release. You acknowledge that: (a) features may be added, modified, suspended, or removed at any time; (b) the Service may contain errors, interruptions, or incomplete features; and (c) content libraries are under active development. This describes the nature of the product you are purchasing; it does not reduce any quality rights you hold under mandatory consumer law.
2.3. Founding Members. Users purchasing before the public launch date of 31 October 2026 ("Founding Members") receive Lifetime Access as described in Section 4. Founding Membership is sold in tiers (currently "Pro" and "VIP") which carry identical access entitlements — all lessons including flagship courses, live events, and community access; tiers differ only in price and in any additional non-access perks expressly described at the time of purchase. Revelium may open additional founding-member enrollment batches before public launch on the same terms. Founding-Member benefits: (a) are personal and non-transferable; (b) last as long as your Lifetime Access; and (c) may be reasonably adjusted where required for legal or operational reasons, provided the core commercial benefit communicated at purchase is preserved. 3. Eligibility, Account Registration, and Security
3.1. Age minimum. You must be at least 18 years old to create an account and use the Service. The Service is not directed at, and may not be used by, persons under 18.
3.2. Capacity. By accepting these Terms you represent that you have the legal capacity to enter into a binding contract under the laws applicable to you.
3.3. Registration. You agree to provide accurate, current, and complete information at registration and to keep it updated. Accounts are personal; credentials must not be shared. You are responsible for all activity under your account and must notify us promptly of any suspected unauthorized use.
3.4. We may refuse, suspend, or terminate registrations as set out in Section 13.
3.5. Sanctions and export. You may not use the Service if you are located in a jurisdiction subject to comprehensive sanctions applicable to us, or if you are a sanctioned or restricted party under UAE, EU, US, or UN sanctions regimes.
4. Purchases, Subscriptions, and Billing
4.1. Current offering — Founding Member Lifetime Access. During the beta and founding-member period, access to the Service is sold as a one-time "Lifetime Access" purchase. "Lifetime" means the commercial lifetime of the Neue Academy Service — that is, for as long as Revelium continues to operate the Service — and not the lifetime of the purchaser. It does not obligate Revelium to operate the Service indefinitely. If Revelium permanently discontinues the Service within twenty-four (24) months of your Lifetime Access purchase, you will receive a partial refund pro-rated on a straight-line basis over that 24-month period, as set out in the Payment Terms.
4.2. Plans from public launch (31 October 2026). From public launch, the Service is offered in three forms, with the entitlements below (current details and prices are always shown on the pricing page; the entitlements stated at your time of purchase govern your plan):

4.3. Subscriptions are for a fixed term. A monthly or yearly plan gives access only for the period paid for. Unless renewed (automatically or manually), access ends at the end of the paid period — for a yearly plan, twelve (12) months after purchase or last renewal. Renewals and any later re-subscription are at the then-current price for the relevant plan; promotional, beta, or founding-member pricing is not guaranteed to be available again. Lifetime Access is the only plan whose access does not expire.
4.4. Access ends when a refund is made. If any purchase is refunded (under the Refund and Cancellation Policy or applicable law), the access purchased ends at the moment the refund is processed, across all plan types.
4.5. Grandfathering. Introducing, changing, or re-pricing plans will not affect Lifetime Access already purchased: your Lifetime Access will not be converted to a recurring plan, curtailed, or made subject to additional fees without your express consent.
4.6. Prices, billing cycles, payment methods, taxes (including UAE VAT), price-change procedures, refunds, withdrawal procedures, and failed-payment handling are governed by our Payment Terms and Refund and Cancellation Policy, which form part of your agreement with us.
4.7. Statutory rights preserved. Nothing in these Terms or the Payment Terms limits any non-waivable refund, withdrawal, cancellation, or renewal-notice right you hold under applicable consumer protection law. In particular, if you are a consumer in the EU/EEA or UK, you have a 14-day right of withdrawal from your purchase; if you request immediate access to the Service during that period, we may deduct a proportionate amount for the access already provided, as described in the Payment Terms.
5. License to Use the Service and Lessons
5.1. Subject to these Terms and payment of applicable fees, Revelium grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and to stream and view lessons and course materials for your personal, non-commercial educational use only, limited to the content included in your plan tier (Section 4.2) and for the duration of your Lifetime Access or active subscription.
5.2. Except as expressly permitted, you may not: (a) copy, download (other than app-enabled offline viewing, where offered), record, scrape, reproduce, or redistribute any lessons or materials; (b) share, resell, rent, or make the Service available to third parties; (c) use lessons or materials to create competing products, courses, or datasets; (d) use any content or data from the Service to train, fine-tune, or develop machine-learning or AI models; or (e) remove or alter any proprietary notices.
5.3. Any rights not expressly granted are reserved by Revelium and its licensors.
6. User Conduct and Prohibited Uses
6.1. You agree not to, and not to permit anyone to:
(a) violate any applicable law or regulation, including UAE laws applicable to online content and cybercrime; (b) infringe the intellectual property, privacy, or other rights of any person; (c) upload or transmit unlawful, defamatory, obscene, hateful, or otherwise objectionable material, or material that is unlawful under the laws of the UAE; (d) circumvent, disable, or interfere with security or access-control features, or access the Service by automated means (bots, scrapers, crawlers) without written permission; (e) reverse engineer, decompile, or disassemble any part of the Service except where such restriction is prohibited by applicable law; (f) share credentials, or access another user's account without authorization; (g) misuse community, comment, or messaging features, including harassment, spam, or impersonation; (h) interfere with or disrupt the integrity or performance of the Service or its infrastructure.
6.2. We may investigate violations and take appropriate action under Section 13, and may report unlawful conduct to competent authorities.
7. Intellectual Property Ownership
7.1. Revelium ownership. The Service and all course content, lessons, videos, text, graphics, designs, software, interfaces, trademarks, logos, and the "Neue Academy" name (collectively, "Revelium Content") are and remain the exclusive property of Revelium and its licensors, protected by copyright, trademark, and other laws of the UAE and international treaties. Purchasing access conveys no ownership interest in any Revelium Content.
7.2. User submissions. If you post reviews, comments, forum posts, or other materials to the Service ("User Content"), you retain ownership of your User Content but grant Revelium a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt, publish, and display it for the purposes of operating and promoting the Service, for as long as your User Content remains on the Service and for a reasonable period thereafter. You represent that you have the rights necessary to grant this license.
7.3. Feedback. Suggestions and feedback you provide may be used by Revelium without restriction or compensation.
7.4. Copyright complaints. Rights holders may notify us of alleged infringement at legal@theneue.academy. We will remove or disable access to infringing material where appropriate and may terminate repeat infringers.
8. Third-Party Services and Links
8.1. The Service may link to or interoperate with third-party websites, tools, or payment processors. Those services are governed by their own terms, and Revelium is not responsible for them. Integration does not imply endorsement.
9. Disclaimer of Warranties; Educational-Outcome Disclaimer
9.1. Educational outcomes. The Service provides educational content for general learning purposes. Revelium does not warrant or guarantee any particular learning outcome, skill level, exam result, certification, admission, employment, income, or professional result. Courses are not accredited degree programs and do not confer academic credit or professional licensure unless expressly stated in writing. Content does not constitute professional (legal, financial, medical, or other regulated) advice.
9.2. Service disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. During beta, you acknowledge the elevated likelihood of interruptions and defects described in Section 2.
9.3. Consumer-law carve-out. Some jurisdictions do not allow the exclusion of implied warranties or statutory conformity rights. Where such laws apply to you, the exclusions in this Section apply only to the extent permitted, and your statutory rights — including conformity rights under EU law and quality rights under UAE consumer protection law — remain unaffected.
10. Limitation of Liability
10.1. To the maximum extent permitted by applicable law, Revelium and its officers, directors, employees, and licensors shall not be liable for: (a) indirect, incidental, special, consequential, punitive, or exemplary damages; (b) loss of profits, revenue, goodwill, data, or anticipated savings; or (c) damages arising from Service interruptions, content errors, or reliance on educational content — in each case whether in contract, tort, or otherwise, and even if advised of the possibility of such damages.
10.2. To the maximum extent permitted by applicable law, Revelium's aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the total amounts you paid to Revelium for the Service in the twelve (12) months preceding the event giving rise to the claim, (b) the amount you paid for your Lifetime Access purchase (where applicable), and (c) USD 100 (or its AED equivalent).
10.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including (where applicable) liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence or willful misconduct, or non-waivable consumer statutory rights.
11. Indemnification
11.1. If you are using the Service as a business, you agree to indemnify and hold harmless Revelium and its officers, employees, and agents from and against claims, damages, losses, and reasonable costs (including legal fees) arising out of: (a) your violation of these Terms; (b) your User Content; (c) your unlawful use of the Service; or (d) your infringement of third-party rights — except to the extent caused by Revelium's own breach or fault. If you are a consumer, this Section applies only to the extent permitted by the mandatory law of your place of residence, and only for losses caused by your unlawful conduct or your breach of these Terms.
12. Privacy and Data Protection
12.1. Our collection and use of personal data is described in the Privacy Policy, which forms part of these Terms by reference.
13. Suspension and Termination
13.1. By you. You may cancel any recurring subscription at any time via account settings, effective per the Payment Terms, and may close your account at any time.
13.2. By us — for cause. We may suspend or terminate your access immediately if: (a) you materially breach these Terms (including Sections 5–6); (b) required by law or a competent authority; (c) your account is involved in fraud, security abuse, or non-payment; or (d) continued provision would expose Revelium to legal liability. For less serious breaches, we will give notice and a reasonable opportunity to cure before termination.
13.3. By us — discontinuation. We may modify or discontinue the Service (in whole or in part) on at least thirty (30) days' prior notice. If we discontinue the paid Service entirely, or terminate your account without cause, we will provide a pro-rata refund of prepaid, unused subscription fees; for Lifetime Access purchases, the refund mechanism in Section 4.1 applies.
13.4. Effect. Upon termination, your license under Section 5 ends and access ceases. Sections intended to survive (including 7, 9–11, 14–16, 18) survive termination.
14. Governing Law
14.1. These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai as applicable, without regard to conflict-of-laws principles.
14.2. Mandatory local protections. If you are a consumer habitually resident in the EU/EEA, the UK, a US state, or any other jurisdiction whose laws grant you non-waivable protections, this choice of law does not deprive you of the protection of those mandatory provisions, and nothing in this Section limits your right (where granted by mandatory law) to bring proceedings in your local courts.
15. Dispute Resolution; Arbitration
15.1. Amicable resolution first. Contact support@theneue.academy; the parties will attempt in good faith to resolve any dispute within thirty (30) days.
15.2. Arbitration. Subject to Sections 15.3–15.5, any dispute not resolved amicably shall be finally settled by binding arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be the Dubai International Financial Centre (DIFC), Dubai, UAE; the tribunal shall consist of one arbitrator; and the language of the arbitration shall be English. Judgment on the award may be entered in any court of competent jurisdiction.
15.3. Consumer carve-out. If you are a consumer in a jurisdiction where mandatory law gives you the right to bring or defend claims in your local courts, or renders pre-dispute arbitration agreements unenforceable against you (including the EU/EEA and UK), Section 15.2 does not remove that right. EU consumers may also use available ADR/ODR mechanisms.
15.4. US users. For US users, arbitration under 15.2 is intended to be enforceable under the Federal Arbitration Act and includes a class-action and jury-trial waiver: disputes must be brought individually, not as class or representative actions. You may opt out of this arbitration agreement within thirty (30) days of first acceptance by written notice to legal@theneue.academy. Small-claims-court claims are excluded from arbitration.
15.5. Injunctive relief. Either party may seek interim or injunctive relief (including protection of intellectual property) in any court of competent jurisdiction.
16. Severability
16.1. If any provision of these Terms is held invalid, illegal, or unenforceable in any jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable (or, if not possible, severed), and the remaining provisions shall continue in full force. An unenforceable provision in one jurisdiction does not affect its enforceability in any other.
17. Changes to These Terms
17.1. We may amend these Terms for legal, regulatory, security, or legitimate business reasons, including the introduction of new plans and features. For material changes we will give at least thirty (30) days' prior notice by email or in-app notice. If you do not accept a material change, you may terminate before it takes effect and receive a pro-rata refund of prepaid, unused fees (for Lifetime Access, the mechanism in Section 4.1 applies by analogy, calculated from the change's effective date). Continued use after the effective date constitutes acceptance.
18. General Provisions
18.1. Entire agreement. These Terms (with the documents incorporated by reference) are the entire agreement between you and Revelium regarding the Service. 18.2. Assignment. You may not assign these Terms. Revelium may assign them to an affiliate or successor entity, or in connection with a merger, acquisition, or asset sale, with notice to you and without prejudice to your accrued rights (including Lifetime Access). 18.3. No waiver. Failure to enforce a provision is not a waiver. 18.4. Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control. 18.5. Language. These Terms are drafted in English. Translations may be provided for convenience; the English version prevails to the extent permitted by applicable law. 18.6. Notices.
